Terms of Service

Effective October 14, 2025

Hyperic ("Hyperic", "we", "us") offers a consumer-grade finance application that blends familiar banking experiences with digital asset infrastructure. These Terms of Service ("Terms") govern your access to and use of the Hyperic mobile application, website, dashboards, programmatic interfaces, and any related services (collectively, the "Service"). By accessing or using the Service you agree to these Terms. If you do not agree, do not use Hyperic.

1. Eligibility & access

The Service is available only if you:

  • are at least 18 years old and capable of entering into a binding contract;
  • successfully complete any identity, sanctions, anti-money laundering, or source-of-funds checks requested by Hyperic or its partners;
  • are not located in, ordinarily resident in, or using the Service from a jurisdiction that is embargoed or sanctioned by the United States or another relevant authority; and
  • maintain accurate account information and update it promptly when circumstances change.

We may request additional documentation at any time and may refuse or revoke access where compliance cannot be satisfied.

2. Service overview

Hyperic provides a single interface to instruct activity across digital asset and fiat rails. Core capabilities include:

  • Trading & investing: order routing, slippage controls, and execution powered by Hyperliquid spot orderbook.
  • Yield & automation: Hyperbeat vault deposits and rewards tracking.
  • Credit & borrowing: Hyperlend-backed collateral management, borrowing, and repayment.
  • Payments & transfers: contact-based transfers, QR codes, and on-chain payments powered by Hyperliquid.
  • Fiat bridging: bank account registration and ACH transfers powered by Bridge.
  • Crypto deposits & withdrawals: crypto asset transfers powered by Hyperunit.

Users are subject to relevant terms and conditions specified by listed partners. Hyperic does not take custody of your assets. We relay instructions you authorise to partner venues and surface the resulting status information. Hyperic does not provide personalised financial, legal, or tax advice.

3. Account security & authentication

Privy provides passkey enrolment, embedded wallets, device attestation, and session tokens. You are responsible for:

  • protecting devices, passkeys, biometrics, notification preferences, and recovery methods;
  • reviewing every transaction before confirming it; and
  • notifying us immediately at support@hyperic.app if you suspect compromise.

We may pause sessions, request additional verification, or refuse instructions to safeguard you, other users, or our partners.

4. Instruction execution

Actions you take in the Service - such as placing orders, initiating deposits or withdrawals, setting automation preferences, or linking bank accounts - constitute instructions to partner venues. You authorise Hyperic and its providers to prepare and submit the necessary blockchain transactions, API calls, or fiat requests on your behalf. Instructions are generally irreversible once submitted. Review amounts, wallet addresses, bank details, and timing windows carefully before confirming.

5. Partners & third-party infrastructure

To deliver the Service we rely on specialised providers, including:

  • Privy: identity verification, compliance tooling, passkeys, embedded wallets, and access tokens.
  • Hyperliquid: on-chain liquidity, order execution, price discovery, and settlement on Hyperliquid Core and HyperEVM.
  • Hyperbeat: automated vault strategies.
  • Hyperlend: lending pools, collateral checks, borrowing, and repayment workflows.
  • Bridge: bank account onboarding, ACH payouts, and onramp/offramp fiat into stablecoins.
  • Hyperunit: BTC, ETH, and SOL deposit monitoring and withdrawal coordination.

Partner terms and privacy policies apply in addition to these Terms. Features may be disabled if a partner is unavailable or if you do not meet their requirements.

6. Your responsibilities

You agree to:

  • use the Service for lawful purposes and in accordance with these Terms, partner policies, and applicable laws;
  • keep contact, compliance, and payment information accurate and current;
  • monitor transaction previews, repayment schedules, budgets, and automation rules before approving them;
  • pay all network fees, spreads, interest, taxes, and third-party charges related to your activity; and
  • maintain your own records for accounting, tax, and regulatory reporting.

7. Fees, taxes & statements

Hyperic discloses platform fees before you confirm an action. Trading through Hyperic currently carries a 0.1% fee with no gas fees, composed of a 0.07% Hyperliquid venue fee and a 0.03% Hyperic builder fee. Hyperbeat vaults apply a 20% performance fee on realised strategy gains. Peer-to-peer sends are completely free in all circumstances and borrowing costs are free excluding interest rates offered from the Hyperlend protocol, though the underlying transactions may require you to cover network gas. Instant vault withdrawals incur a 0.5% fee, otherwise 3 day free withdrawal. Vault deposits and borrow operations are otherwise free apart from any gas required to settle them. Network gas prices can change rapidly and may be deducted from your balance. You are solely responsible for applicable taxes and for exporting statements or history required for compliance.

8. Digital asset & technology risks

Digital assets and smart contracts are not free of risk. By using Hyperic you acknowledge risks such as:

  • significant price volatility, liquidity constraints, and slippage;
  • bridge failures, validator issues, protocol upgrades, and smart-contract vulnerabilities;
  • irreversible on-chain transfers, including transactions sent to the wrong address;
  • delayed or unavailable services due to partner downtime or network congestion; and
  • regulatory or policy changes that may require us to modify, geofence, or disable features.

Evaluate these risks carefully and seek independent advice when needed.

9. Fiat ramps & off-ramps

Fiat deposits, ACH payouts, and bank account linking are facilitated by Bridge, Privy, and partner banks. Hyperic does not hold your bank funds. Providing bank details authorises the relevant provider to process payments. Settlement times and limits are set by those partners and may change without notice. You must ensure bank information is accurate and that you have authority over the accounts you connect.

You must not:

  • use the Service for unlawful, fraudulent, deceptive, or abusive purposes;
  • circumvent geofencing, compliance controls, rate limits, or security safeguards;
  • spread malware, interfere with infrastructure, or attempt to probe or test system vulnerabilities;
  • misrepresent your identity, source of funds, or affiliation with a third party; or
  • scrape, reverse engineer, resell, or overload the Service without prior written consent.

We may suspend or terminate access if we detect behaviour that breaches these Terms or partner requirements.

11. Compliance, holds & termination

We may delay, reject, or reverse instructions; freeze features; or request additional information to satisfy regulatory obligations or manage risk. Access may be suspended or terminated if you breach these Terms, if required by law, or if requested by a partner venue. Sections that by their nature should survive termination remain in effect.

12. Intellectual property & licence

Hyperic and its licensors own all rights in the Service, including software, designs, data models, logos, and analytics. We grant you a limited, revocable, non-transferable licence to use the Service for personal purposes in accordance with these Terms. You grant us permission to use feedback or suggestions without obligation.

13. No advice; no fiduciary duty

Information presented within Hyperic is for general education and decision support. It is not financial, investment, legal, or tax advice, and Hyperic is not your fiduciary. You are solely responsible for evaluating transactions and complying with applicable laws.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HYPERIC AND ITS SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR REVENUE ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Our aggregate liability to you for all claims is limited to the greater of (a) AUD $500 or (b) the fees you paid directly to Hyperic in the twelve (12) months preceding the event giving rise to the claim.

15. Indemnification

You agree to indemnify and hold harmless Hyperic, its affiliates, directors, employees, and service providers from any claims, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your use of the Service, or your violation of any law or third-party right.

16. Changes to the Service or these Terms

We may update the Service and these Terms at any time. Material changes will be communicated through the app, website, or email. Continued use after a change takes effect constitutes acceptance. If you do not agree to an update, you must stop using the Service.

17. Governing law & dispute resolution

These Terms are governed by applicable laws, without regard to conflict-of-law principles. Before pursuing any formal remedy, you and Hyperic agree to attempt to resolve disputes in good faith by contacting support@hyperic.app. If the matter is not resolved within thirty (30) days, either party may seek relief in the competent courts of an appropriate jurisdiction in which Hyperic’s operating entity is established.
